What does "video conferencing" mean in this context. NetMeeting along
supports one to one audio video calling -- is that acceptable?

What "elearning tools" are you interested in?

I am not sure what 256kbps shared means and how it is shared. If you are
behind a NAT router of some kind only one party will be able to have
NetMeeting audio/video connections(unless you install a gateway/gatekeeper
on a separate server).

The connection speed does not really indicate that bandwidth throughput.
The indicated bandwidth might be enough for one audio/video call connection
at medium setting video size(but that is just a guess -- you would have to
do some testing to see what works for your situation)

Well unless you are going to mount an H.323 MCU/Conference server
NetMeeting will not provide the one to many video that you need. I am not
conversant with Interwise so I can't comment on its video quality but I
doubt if you will get acceptable video quality with any tool on the
internet.

I will repeat what I have said in the past -- the internet is a *very*
hostile place for real time audio/video of any kind - in its present form
it generally just doesn't work for real time video conferencing.
